TERMS AND CONDITIONS OF SALE

PRICES:
All prices quoted are FOB exclusive of taxes and freight charges. Purchasers shall furnish to A&N an appropriate tax exemption certificate for deferment of taxes, if
applicable.

TERMS OF PAYMENT:

All goods are payable with credit card, cash, check or money order. immediately on receipt in either Cash, Letter ofCredit, Wire Transfer, Cashiers Check or Money Order made payable to rpw networks.For new accounts the above will apply.Established accounts may make payments with their own company checks after a dealer's agreement has been approved by our company. Credit and net terms can be established by submitting a credit application, financial statement and reference from your banking institution. All past due accounts may be changed to C.O.D. status at rpw networks option. Accounts past due are assessed 1.5% per month on the outstanding balance. Bad checks are
subject to a $20.00 charge. Special order items not normally stocked, require a 25% deposit and there in NO return, refund or credit. Customer agrees to pay all of Seller's costs related to the collection of any sums due, including overhead allocated to employee efforts and any legal fees and expenses
incurred.

DELIVERY:

Shipments of goods will be FOB rpw networks original selling office or site. In the event ofdamage, loss or mis-delivery of product by courier, it shall be the responsibility of the
purchaser to deal with the carrier. In the absence of shipping instructions, rpw will select the method and carrier it deems best. Delivery schedules are approximate only. A&N will make every reasonable effort to deliver on time, however A&N will not be liable for late or lost shipments.

TITLE:

Title and risk of loss or damage to product shall pass on to purchaser upon delivery to carrier, purchaser or purchaser's agent at F.O.B. shipping point.

CHANGES AND CANCELLATIONS:

Orders accepted by A&N are not subject to changes or cancellation EXCEPT with rpw's written consent AND upon payment of an appropriate charge to cover the cost or loss incurred by A&N, unless otherwise agreed in writing, shall not be less than 15% of the price of goods subject to the change or cancellation.

LIMITATION OF LIABILITY:

In no event shall A&N be liable for any loss of use, revenue, or anticipatory profit, or for any direct, indirect, or consequential damages arising out of, or connected with the sale, use or operation of goods sold.

DESIGNS:

Any designs, schematics, data or other technical information supplied by rpw to purchaser in connection with the sale of goods shall remain rpw property and be held in confidence by purchaser. Such information shall not be reproduced or
disclosed to others without A&N's prior written consent.

APPLICABLE LAW:

The rights and obligations of the parties under this agreement shall be governed by the laws of the state where the A&N office responsible for the sale is located.
 
 

RMA POLICY ( return merchandise )

Before returning any merchandise, the following procedures must be carried out: Call our RMA department and explain the nature of the problem. An RMA number will be issued if the product is found to be malfunctioning. Clearly describe the nature of the problem(s) on a form and attach it to the defective product(s). Unless otherwise stated, include only the parts that are defective. Attach a copy of the invoice with matching serial number(s) to the RMA form. Returned merchandise without an
appropriate invoice or a legitimate RMA number will be rejected at the customer's expense. No refunds will be issued.

FREIGHT

An RMA number is good for one week from date of issue. Customers must send the defective merchandise to A&N with freight prepaid. Making sure that each box is marked with its RMA number. A&N shall pay the shipping costs to return repaired
or replaced product(s) to the customers providing the following conditions are met:

1. Items were originally purchased from A&N.
2. Items are still under warranty.
3. Items are confirmed to be defective.

TURNAROUND TIME

All returned products shall be repaired or replaced within four weeks from the date of receipt, allow two weeks for incoming and outgoing shipments. Products defective within 90 days from the date of purchase will be replaced providing the warranty
requirements are met.

DOA
All products that are found to be defective within 5 days from the date of purchase are considered Dead On Arrival (DOA).
DOA products may be returned to A&N for immediate exchange or replacement. All DOA products must be returned with original packaging, including manuals, cables, diskettes, etc. An RMA # is still required.

NON-STOCK ITEMS

All non-stock special order items are non-returnable, and no credits will be issued on these products.

DIAGNOSTIC CHARGE

If a product is sent to us as defective but is found to be in good working order, a minimum diagnostic charge of $50 per hour will be assessed. A defective product sent to us without any problem description is also subject to the same diagnostic charge.

RESTOCKING FEE

No returns after 3 days. 20% restocking fee on returns. Credit will be issued only. All returned merchandise returned for restocking must be accompanied by all the original packaging, including manuals, cables, diskettes, etc.
 
 

LIMITED WARRANTY
 

This limited warranty is extended only to customers who purchase products directlyfrom rpw. All products distributed by rpw, unless otherwise specified, carry a manufacturers limited warranty period of 12 months from the date of purchase.
This warranty does not apply if:

(a) The product is damaged by accident, improper use, or by negligence ofcustomers.
(b) Attempts have been made to repair or alter the product by anyone other thanthose appointed by rpw.
(c) The serial number, and ID labels are removed or tampered with.

Should the product prove to be defective in workmanship or material, the customer's sole remedy shall be repair or replacement. Under no circumstances shall rpw be
liable for any loss or damage, direct, consequential, or incidental arising out of the inability to utilize the product.
A&N makes no warranty other than the ones set forth herein. Such warranty is in lieu of all other warranties, expressed or implied warranty of merchantability of fitness for a particular purpose, and such constitutes the only warranty made with respect to the goods.
